1. Scope of Work

All projects begin with a written agreement or statement of work (SOW) that outlines the deliverables, timeline, and cost. Any changes to the scope must be agreed upon in writing and may result in adjusted pricing or timelines.

2. Client Responsibilities

To ensure timely delivery, you agree to:

• Provide necessary content, assets, and access (e.g., hosting, APIs) promptly.
• Respond to feedback requests within 3 business days.
• Designate a single point of contact for approvals.

3. Payment Terms

Unless otherwise agreed:

• 50% advance is required to begin work.
• The remaining 50% is due upon completion before final handover.
• Invoices are payable within 7 days of issuance.
• Late payments may incur a 2% monthly interest charge.

4. Intellectual Property

Upon full payment, you receive full ownership of the custom code, designs, and assets created specifically for your project. We retain the right to use generic libraries, frameworks, and our pre-existing tools. We may showcase the work in our portfolio unless you request otherwise.

5. Revisions & Acceptance

Each plan includes a specified number of revision rounds. Additional revisions will be billed at our standard hourly rate. Final deliverables are considered accepted if no feedback is provided within 7 days of delivery.

6. Limitation of Liability

Sumtech's total liability for any claim arising from our services shall not exceed the total amount paid by you for the specific project. We are not liable for indirect, incidental, or consequential damages.

7. Termination

Either party may terminate the agreement with 7 days' written notice. If you terminate, you agree to pay for all work completed up to the termination date. If we terminate without cause, we will refund any unused advance payment.

1. Advance Payment Refunds

We understand that plans change. Our refund policy for the initial 50% advance is:

• Within 48 hours of payment and before work has begun: full refund.
• After work has begun but within 7 days: refund of the advance minus hours already worked (billed at our standard rate of ₹1,200/hr).
• After 7 days or if significant work is complete: no refund of the advance, but you will receive all completed work files.

2. Final Payment

The final 50% payment is non-refundable once the project has been delivered and approved. If you are dissatisfied with the final delivery, we will work with you to address issues within the agreed revision scope before considering any refund.

3. Project Cancellation by Sumtech

If we are unable to complete the project due to unforeseen circumstances on our end, we will refund any payment for work not yet performed and provide all completed work to you.

4. Disputed Work

If you believe the delivered work does not meet the agreed specifications, please contact us within 7 days of delivery. We will review the issue and either revise the work or issue a partial refund, at our discretion.

4. Portfolio Usage

We may showcase completed work in our portfolio only with your explicit written permission. You can opt out at any time, and we will remove the project from our showcase within 7 days.

5. Data Retention After Project

After project completion, we retain your project files for 90 days for warranty and backup purposes. After this period, we securely delete all copies unless you request otherwise. Source code and assets are handed over to you in full.
